Unicredit Reaches Milestone: Over 30 Percent Stake in Commerzbank
According to information from the Treasurer, Unicredit has taken a decisive step in the ongoing takeover battle for Commerzbank: As the Italian financial institution announced on June 3, 2026, a total of 7.58 percent of Commerzbank shares had been tendered to it by May 14, 2026. Together with its existing 26.77 percent stake, Unicredit now holds 34.35 percent of the shares. When financial instruments and total return swaps are taken into account, the calculated percentage actually rises to 50.76 percent of the share capital.
Unicredit has thus achieved the goal it set at the start of the tender offer to exceed the 30 percent mark. The deadline for the current tender offer is June 16, 2026.
Marcus Sarafin, managing director of GFL Makler- und Beratungsgesellschaft mbH, takes a critical view of the acquisition:
“In our view, this acquisition is highly significant, as it involves two banks that serve and finance Germany and, in particular, German small and medium-sized enterprises.” It is now expected that both institutions will implement a common credit policy in the future. I expect that the two separate lines will soon become one. Given the current state of the German banking sector, it will be extremely difficult to make up for this shortfall. “This means corporate customers are left without a market participant—and this in a banking landscape that is already shrinking.”
